1. Agreement to these Terms
These Terms of Use form an agreement between you and AISGH, LLC ("AISGH," "we," "us," or "our") regarding your access to and use of our website, CRM software solutions, and related services (collectively, the "Services"). By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services. You must have authority to accept these Terms for any organization on whose behalf you use the Services. AISGH is located at 5046 W Linebaugh Ave, Tampa, FL 33624.
2. The Services
AISGH provides software and related support intended to help organizations manage customer information and interactions. Features, availability, and requirements may vary. We may add, change, suspend, or discontinue a feature to maintain or improve the Services, address security or legal requirements, or respond to operational needs. We will use reasonable efforts to provide notice when a material change affects active use, where practicable.
3. Accounts and accurate information
Some features may require an account or contact details. You agree to provide accurate, current information and keep it updated. You are responsible for protecting your credentials and for activity under your account, except to the extent caused by AISGH's failure to use reasonable safeguards. Notify us promptly through the Contact page if you suspect unauthorized access. Do not share credentials in a way that compromises the security of your account or another user's information.
4. Permitted use
You may use the Services only for lawful business and personal purposes consistent with these Terms and any feature-specific instructions. You must comply with applicable privacy, consumer-protection, communications, and data-security laws when you submit or manage information about other people. You are responsible for ensuring you have the rights and permissions needed to provide that information to AISGH and to use it through the Services.
5. Prohibited conduct
You may not misuse the Services, interfere with their operation, attempt unauthorized access, probe or defeat security controls, introduce malicious code, scrape or harvest data without authorization, impersonate another person, or use the Services to violate another person's rights. You may not reverse engineer or copy software except where applicable law does not allow that restriction. You may not use the Services to send unlawful, deceptive, harassing, or unsolicited communications.
6. Your content and instructions
You retain rights in content and information that you submit, subject to rights you grant to AISGH to operate the Services. You authorize AISGH to host, process, transmit, and display submitted content as reasonably necessary to provide, secure, maintain, and support the Services and as otherwise described in our Privacy Policy. You represent that you have authority to provide the content and that its use as permitted by these Terms will not violate law or another person's rights.
7. AISGH software and intellectual property
The Services, including software, design, text, graphics, and related materials, are owned by AISGH or its licensors and are protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Services for their intended purposes during your permitted use. No ownership is transferred to you. You may not remove proprietary notices or use AISGH names, marks, or materials beyond what is reasonably necessary to use the Services.
8. Privacy and communications
Our Privacy Policy explains how we handle information. By using the Services, you acknowledge that policy. We may contact you about your inquiry, account, service operation, security, or these Terms using the contact details you provide, as permitted by law. Text messages are sent only when you separately opt in. SMS consent is optional and is not a condition of purchase, service, or account creation. You may revoke text consent by replying STOP; details appear in our SMS Terms.
9. Fees and purchases
If a paid feature is offered, its price, billing period, renewal terms, and applicable taxes will be presented before you commit to purchase. You authorize the payment method you select to be charged according to the disclosed terms. Unless applicable law or the purchase terms require otherwise, fees are non-refundable. Contact us promptly about a billing question so we can review the information associated with your request.
10. Suspension and termination
You may stop using the Services at any time. We may suspend or restrict access if we reasonably believe that use violates these Terms, creates a security or legal risk, harms another user, or threatens the operation of the Services. Where practicable, we will provide notice and an opportunity to address the issue. We may terminate access for repeated or serious violations. Terms that by their nature should continue after termination will remain in effect.
11. Availability and updates
We work to keep the Services useful and available, but we do not guarantee uninterrupted access or that every feature will be available at every time or location. Maintenance, network conditions, third-party infrastructure, security events, or other circumstances may affect availability. We may release updates, corrections, or changes that require compatible devices or software. You are responsible for maintaining devices and connectivity needed to access the Services.
12. No professional advice
The Services provide organizational software functionality. Information or workflow features are general tools and do not constitute legal, accounting, tax, human-resources, or other professional advice. You are responsible for evaluating whether the Services fit your needs and for obtaining professional guidance when appropriate. AISGH does not make decisions on your behalf or guarantee a particular business result.
13. Disclaimers
To the maximum extent permitted by law, the Services are provided "as is" and "as available." AISGH disclaims implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, as well as warranties arising from course of dealing or usage of trade. We do not warrant that the Services will meet every requirement, operate without errors, or prevent every security incident. Some jurisdictions do not permit certain disclaimers, so portions of this section may not apply to you.
14. Limitation of liability
To the maximum extent permitted by law, AISGH and its officers, employees, and agents will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, goodwill, or business opportunity, arising from or related to the Services or these Terms. To the maximum extent permitted by law, AISGH's total liability for claims relating to the Services will not exceed the amount you paid AISGH for the Services during the 12 months before the event giving rise to the claim, or one hundred U.S. dollars if you paid nothing. This section does not limit liability that cannot be limited by law.
15. Indemnification
To the extent permitted by law, you agree to defend and hold AISGH and its personnel harmless from third-party claims, liabilities, losses, and reasonable expenses arising from your unlawful use of the Services, your violation of these Terms, or content and information you submit without the necessary rights or permissions. AISGH will provide notice of a covered claim and reasonable cooperation. You may not settle a claim in a manner that imposes an obligation or admission on AISGH without our written consent.
16. Disputes and governing law
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law rules, except where applicable law requires otherwise. The state and federal courts located in Florida will have jurisdiction over disputes relating to these Terms or the Services, and each party consents to that jurisdiction, subject to any non-waivable consumer rights. Before filing a claim, please contact us so we can try to understand and resolve the issue.
17. Changes to these Terms
We may update these Terms as the Services or applicable requirements change. We will post the updated version on this page and revise the date where available. Material changes will take effect on the stated effective date. Your continued use after the effective date means you accept the revised Terms, to the extent permitted by law. If you do not accept a change, stop using the Services.
18. General provisions and contact
These Terms and policies incorporated by reference form the entire agreement between you and AISGH concerning the Services, unless a separate written agreement applies. If a provision is unenforceable, the remaining provisions remain effective. A failure to enforce a provision is not a waiver. You may not transfer these Terms without our consent; AISGH may assign them in connection with a reorganization or transfer of its business.
